Draft for review — not yet effective
Bracketed fields mark details that still need confirmation. This draft does not replace any agreement already in force.
1. Agreement and accounts
These Terms govern Epicat's hosted workflow harness builder, agents, workflows and integrations (the “Service”), provided by WildJS – Tomas Sivicki, Kaiserstrasse 103, 52134 Herzogenrath, Germany, Germany (“Epicat”, “we”, “us”). Legal notices and complaints go to legal@epicat.com. See our Imprint.
The Service is available to businesses and consumers. Paid plans, payments and monetization are restricted to people aged 18 or over who have legal capacity to enter into the agreement. If acting for an organization, you must be authorized to bind it. People under 18 may use only free features that do not incur charges or involve monetization, with the authorization and supervision of a parent or legal guardian and any consent required by applicable law. Parental authorization does not permit a minor to purchase a plan, authorize paid execution, sell, receive payouts or bypass these restrictions. Do not misrepresent your age or give a minor access to restricted payment or seller permissions.
A consumer is a natural person acting predominantly outside their trade, business or profession. References to a business customer mean a person or organization acting in the course of those activities. A business customer's own purchasing terms apply only if we expressly agree to them; individually agreed terms retain their legal priority.
Your agreement consists of these Terms and the order or plan accepted through signup or checkout. You submit an order by confirming the plan and expressly accepting the terms presented to you; a contract is formed when we confirm acceptance electronically or activate the ordered service. An automated acknowledgement of receipt alone is not acceptance. The order identifies the service start and the applicable terms version. We provide the required contract information and confirmation in a form you can retain. Keep account details accurate, protect authentication methods and promptly report unauthorized use. You are responsible for users and activity you authorize, subject to our own legal responsibilities.
Contractual notices may be sent to the contact details in the order or account; keep an accessible email address on file. You may send notices to legal@epicat.com. Any mandatory form, delivery and consumer-information requirements remain applicable.
2. Service, fees and cancellation
We permit you and your authorized users to use the Service within the plan, term and limits in your order. The order must disclose the price, applicable taxes, billing interval, usage charges and any renewal or minimum-term conditions before purchase.
This is a non-exclusive right to access the Service during the agreed term. You must provide a suitable device and internet connection. We must disclose material compatibility requirements, supported functions and technical restrictions before purchase. Third-party integrations are included only to the extent specified in the agreed service description.
Subscription fees are payable in advance for the billing period selected in the order. Usage charges are payable on the billing schedule disclosed before you enable them. The order states the currency, price, included usage and any applicable taxes; consumer prices include applicable taxes. You authorize recurring charges only for the subscription and usage you accept, using your selected payment method. Keep billing details current. Failed payments may be retried, subject to the suspension safeguards below; there is no undisclosed late fee.
Free access does not convert to a paid plan without an express paid order. Any trial identifies its duration and limits before it starts. Monthly subscriptions continue until cancelled. Annual subscriptions have an initial twelve-month term unless the order expressly states a different lawful term. A business customer's annual subscription renews for successive twelve-month terms unless cancelled before the next term. After a consumer's initial annual term, any automatic extension is for an indefinite period and may be cancelled at any time with no more than one month's notice. The renewal notice and order identify the applicable price and billing interval; any prepaid amount covering a period after an effective consumer cancellation is reimbursed.
You may cancel through the available account controls or by emailing legal@epicat.com. Cancellation takes effect at the end of the current paid term, subject to the consumer rule above and statutory termination rights. Timely receipt of your cancellation is sufficient; our confirmation is not a condition of effectiveness. Paid access continues until the effective date, after which the account moves to the available free plan unless you request deletion or the agreement otherwise ends.
Upgrades take effect when the change and any displayed additional payment are accepted. Downgrades take effect at the next renewal unless a different date is expressly agreed. The change screen must disclose its price, any prorated charge or credit and any loss of functionality before acceptance. Ordinary cancellation or a downgrade does not itself create a refund for an already supplied paid period; mandatory withdrawal, defect, termination and other refund rights remain unaffected.
Credits and allowances apply only to the identified Service usage and are not ordinarily redeemable for cash; mandatory refund rights remain unaffected. Any expiry or non-rollover condition must be disclosed before acquisition; if no expiry is disclosed, purchased credits do not expire. Promotional allowances follow the conditions stated when granted. We do not apply new expiry conditions retrospectively. Price changes require the notice and agreement applicable by law; these Terms do not authorize an unannounced increase or remove a right to cancel.
The accepted order must identify any recurring authorization, metered unit, included allowance and overage price. Automated agent activity can consume that allowance when you authorize execution; enabling a connection alone does not authorize undisclosed third-party charges. Additional paid features or higher charges require a valid agreement. A disputed charge may be raised at legal@epicat.com without affecting mandatory payment-dispute rights.
We may maintain and improve the Service. Material changes to a paid service require a valid contractual or legal basis, appropriate notice and any legally required cancellation or refund rights. No service-level guarantee applies unless expressly agreed. Separate licenses apply to identified third-party or open-source software; these Terms do not replace them.
For consumers, changes beyond those necessary to maintain conformity require the conditions of Section 327r BGB, including an agreed valid reason, no additional cost and clear information. Where a change affects access or use more than insignificantly, advance information on a durable medium and the statutory right to end the contract apply, subject to the statutory exceptions.
3. Customer content and confidentiality
You retain your rights in inputs, files, workflows and other material you supply (“Customer Content”). You grant us the rights necessary to host, reproduce, transmit and process it to provide the Service and follow your instructions. That permission does not independently authorize unrelated advertising or general-purpose model training.
You must have the rights and legal basis needed to provide Customer Content and authorize its processing. Epicat and its licensors retain their rights in the Service, software, branding and documentation. Suggestions may be used to improve the Service without transferring ownership of your content.
Do not copy, sell, sublicense or distribute the platform itself, remove proprietary notices or reverse engineer it, except as we expressly permit or mandatory law allows. These restrictions do not prevent you from using or deploying your own agents, workflows or outputs within the agreed plan.
Each party must protect the other's non-public information with reasonable care, use it only for the agreement, and disclose it only to people who need access and are bound to confidentiality. This excludes information lawfully public, already known, independently developed or lawfully received without restriction. Legally required disclosures remain permitted, with notice where lawful.
[SHARING_AND_MARKETPLACE]: before enabling public sharing or paid third-party agents/templates, specify publication and reuse permissions, removal and existing-copy treatment, the contracting seller, Epicat's role, fees, refunds and any required marketplace disclosures. Private content is not made generally reusable merely because it is submitted to the Service.
4. AI and agent use
AI outputs may be inaccurate, incomplete, biased, insecure or unsuitable for a purpose. Review important facts, references and generated code before relying on, publishing or executing them. Outputs are not a substitute for qualified professional judgment. You retain any rights you have in outputs; we transfer any rights we can lawfully transfer, without promising uniqueness, copyright protection or freedom from third-party rights.
An enabled agent can send information or act on connected systems with the permissions you grant. Limit credentials and tool access, assess the consequences and provide human oversight appropriate to the risk. Untrusted content may contain instructions that manipulate an agent. Do not rely on an agent as the sole decision-maker where an error could cause serious harm.
AI providers and integrations may have their own terms, charges and availability limits. Relevant data use is described in our Privacy policy and, for customer processing, the DPA. Connecting a service does not relieve either party of its own legal duties.
Where you connect a provider using your own account or API key, you are responsible for that account's permissions, lawful use and charges under your agreement with the provider. Revoke credentials you no longer need. A provider's outage, changed interface or discontinued model may affect an integration; it does not automatically release us from our own contractual or statutory obligations. We must identify applicable provider restrictions before you enable the affected feature.
5. Acceptable use
Do not use the Service to violate law or others' rights; exploit children; facilitate violence, fraud, unlawful discrimination or harassment; distribute malware or unlawful spam; steal credentials; gain unauthorized access; or evade security, billing or usage controls. Security testing requires authorization. Do not upload specially regulated data, including protected health information, unless an express written agreement and supported controls permit it.
You are responsible for required notices, permissions and lawful use of your agents, including applicable AI-transparency and human-oversight duties. Report suspected unlawful content to legal@epicat.com, identifying the material and alleged violation.
6. Suspension and termination
We may proportionately restrict access to address unlawful use, a material breach, a security threat or payment default. Where practicable and lawful, we will explain the reason and allow an opportunity to remedy it; urgent risks may require immediate action. You may request review at legal@epicat.com.
We may immediately restrict or suspend an account without advance warning where there is a substantiated age/authorization breach, including a minor's access to payments or monetization. We will provide any reason, review opportunity or other notice required by law; immediate protection does not cancel mandatory refund or data-protection rights.
Either party retains its statutory right to terminate for good cause. Ordinary cancellation follows the order and applicable law. On termination, access ends and amounts lawfully due remain payable. [EXPORT_AND_DELETION] must identify any export window and deletion timing, consistent with the DPA. Statutory refund and withdrawal rights remain unaffected.
Confidentiality, rights already accrued, lawful payment obligations and provisions necessary to resolve existing claims survive termination. Content return and deletion obligations continue for as long as applicable; termination does not create a right to retain or reuse your content for new purposes.
7. Warranties and liability
Statutory rights relating to defective digital products and other mandatory remedies remain unaffected. We do not promise that AI outputs are correct or that the Service will operate without interruption or errors beyond our agreed and statutory obligations.
Report defects with information reasonably available to help us reproduce them, without sending unnecessary secrets or personal data. We will address defects in accordance with our agreed and statutory obligations. Consumers retain applicable rights to conformity, necessary updates (including security updates), remedy, price reduction, termination and damages. Reasonable cooperation with troubleshooting does not waive those rights.
We remain liable without limitation for intent and gross negligence; injury to life, body or health; fraudulently concealed defects; expressly assumed guarantees; and liability that cannot lawfully be limited, including applicable product liability. For ordinary negligence involving breach of a material contractual duty necessary for proper performance and on which you may ordinarily rely, liability is limited to damage foreseeable and typical for the contract. Other liability for ordinary negligence is excluded to the extent permitted by law. These provisions also apply to our representatives and persons performing our obligations.
Nothing here restricts mandatory consumer rights, data subjects' rights or regulatory powers. The liability wording requires review for the final service and contracting flow before these draft Terms take effect.
For business customers only: if a third-party claim results from your culpable infringement of rights in Customer Content or your culpable breach of Section 5, you must reimburse amounts established by a final judgment or a settlement you approve, together with reasonable and necessary defense costs, to the extent attributable to your breach. This excludes any part caused by us. We must notify you promptly, permit reasonable participation in the defense and obtain your consent before a settlement imposes liability on you; consent must not be unreasonably withheld. This provision does not apply to consumers or restrict mandatory data-protection rights.
8. Consumer withdrawal
If you conclude a service contract as a consumer at a distance, you have a right to withdraw within 14 days without giving a reason. The period begins on conclusion of the contract, subject to the statutory information requirements.
To withdraw, tell WildJS – Tomas Sivicki, Kaiserstrasse 103, 52134 Herzogenrath, Germany, legal@epicat.com, through a clear statement, for example by email or letter. Sending your notice before the period ends is sufficient. You may use the form below, but do not have to.
We will reimburse payments covered by the withdrawal without undue delay and within 14 days after receiving the notice, using the original payment method unless otherwise expressly agreed without cost to you. If you expressly requested performance before the withdrawal period ended and received the required information, a proportionate payment for services already supplied may be due where the law permits it. Starting a subscription does not automatically waive withdrawal rights; loss of a right requires the applicable statutory conditions and any necessary separate consent and acknowledgement.
Copyable withdrawal text (use is optional)
You may copy the prepared model text below, complete the details identifying your contract, and send it to us by email or post. Any other clear statement of withdrawal is also accepted.

9. Governing law and changes
German law applies. Consumers retain mandatory protection under the law of their habitual residence where applicable, and statutory jurisdiction rules remain unaffected.
We will give appropriate notice of material amendments and obtain agreement where required; publication alone does not establish acceptance. A signed agreement or order may expressly vary these Terms within the law. The DPA takes priority for customer-data processing, and mandatory transfer instruments prevail where required. If a provision is ineffective, statutory rules govern the resulting gap and the remaining provisions continue where legally possible.
